AGA advised Bain Capital on the financing of Kpler for the acquisition of MarineTraffic

In the context of the funding of Kpler by Bain Capital for the acquisition of MarineTraffic, AGA advised Bain Capital, one of the world’s leading private investment firms, on Greek law aspects relating to the accession by MarineTraffic to the facility agreements and the perfection of the transaction securities over assets of Marine Traffic.

Sale of Biomesti IKE to Bluefuel SA

AGA advised FARMA OROUS SA as seller of the entire capital of BIOMESTI IKE, a producer of biogas, to BLUEFUEL S.A., a transaction of total value exceeding € 4,5 m.

Sale of the listed company KLM SA to Intrakom Holdings

AGA advised one of the sellers with stakeholding in the ASE listed company KLM SA, a Greek retailer master franchisor of the UK brand MOTHERCARE, for the sale of its respective equity stake to Intrakom Holdings, a transaction of a total value exceeding € 18m.

Ultra-Fast Broadband Infrastructures

AGA advised the consortium of TERNA ENERGY SA and GRID TELECOM S.M.S.A. on the financing (project finance) by a consortium of greek banks of the implementation of the project regarding the Ultra-Fast Broadband (UFBB) infrastructures in the Greek Territory with a total budget of € 870 m.

AGA advised Piraeus Bank on the financing €130m of TEMES SA

AGA has advised PIRAEUS BANK in relation to € 130 m. bond loan facility granted to TEMES S.A., a leading investor, developer and operator in the high-end tourism and real estate sector in Greece, to finance investments in its flagship development Costa Navarino, one of the largest tourism investments in the Mediterranean.

Egnatia Odos Motorway maintenance & operation

AGA advised GEK TERNA, an ASE listed leading construction company, on the financing (project finance) of the operation, maintenance and exploitation of the Egnatia Odos Motorway and of the three vertical axes under a 35-year concession agreement.

Heraklion Crete New International Airport

AGA advised GEK TERNA, an ASE listed leading construction company, on the financing (project finance) of the construction, operation and exploitation of the New International Airport in Heraklion Crete under a 35-year concession agreement. The overall project is expected to cost € 1.5 billion.

Ultra-Fast Broadband (PPP)

AGA advised the consortium of TERNA ENERGY SA and GRID TELECOM S.M.S.A. on the participation and award of a Public-Private Partnership by the Ministry of Digital Governance for the development of Ultra-Fast Broadband (UFBB) infrastructure in the Greek Territory with a total budget of € 870 m. to be financed by a consortium of Greek banks.

AGA won claim of $ 20 m.

AGA effectively defended Dr. John Coustas, head of NYSE listed Danaos Corporation, in litigation brought against him from, among others, a BVI entity claiming more than $ 20 m. as compensation. Claim irrevocably rejected.

AGA won class action against NRG

AGA has represented NRG, an upcoming Greek energy supplier, in a multimillion class action against the use of adjustment clauses in the electricity supply contracts. Class action rejected.

AGA being part of the evolvement of the Ellinikon Project

AGA represented HELLINIKON S.A., an entity established by the Hellenic Republic for the administration, management and development of the land, premises, and facilities of the former Athens Airport of Hellinikon, in litigation brought against it by the owners of seven aircrafts which belonged to the former “Olympic Airways S.A.”. AGA represents same entity in litigation with a former occupant of part of the premises where the Ellinikon Project is under development; case pending before the Supreme Court.

Shipping business lawsuit

AGA has successfully represented Angeliki Frangou, head of Navios Group, in successfully defending a lawsuit by her brother John Frangos regarding their common shipping business in the past.
