WORK HIGHLIGHTS

Sale of Biomesti IKE to Bluefuel SA

AGA advised FARMA OROUS SA as seller of the entire capital of BIOMESTI IKE, a producer of biogas, to BLUEFUEL S.A., a transaction of total value exceeding € 4,5 m.

Sale of the listed company KLM SA to Intrakom Holdings

AGA advised one of the sellers with stakeholding in the ASE listed company KLM SA, a Greek retailer master franchisor of the UK brand MOTHERCARE, for the sale of its respective equity stake to Intrakom Holdings, a transaction of a total value exceeding € 18m.

Transfer of share capital to a private equity firm

AGA represented major shareholders of a Greek food company (with production units in Greece, Bulgaria and China employing about 1,450 people and a global turnover exceeding 40 million euros) to a private equity firm in a transaction valued over € 33 mn.

Term of no competition clause may not extend more than two years

AGA successfully represented a former CEO of an ASE listed company in proceedings brought against him by the company for alleged illegal competition not during his term of office but some time following its termination. The claim was rejected by the Court of First Instance which upheld that the company may not restrict its former CEO from working in the same market for more than two years following the end of his tenure).

Due dilligence for the acquisition of Esselte by Acco

AGA actively participated in due diligence procedures conducted in international level, for the acquisition by ACCO Brands Corporation, one of the world’s largest designers, marketers and manufacturers of branded business, academic and consumer products (NYSE: ACCO) of Esselte Group Holdings AB; transaction of a total value, according to Fortune Magazine, exceeding $300 mn.

Providing expert reports in international arbitration proceedings in the energy sector

AGA provided expert reports to a big global player in the energy market in arbitration proceedings brought before the Arbitration Institute of the Stockholm Chamber of Commerce in relation to a claim of over €150 mn for damages generated from the alleged breach of a shareholders’ agreement relating to a joint-company based in Greece and operating in the energy market.
